Matador Resources Co.

Matador Resources Company held its Annual Shareholders Meeting on May 17, 2007 in Dallas, Texas, with over 100 shareholders, employees and guests of the company in attendance, including many long-time Matador investors. In total, approximately 85% of the company's outstanding shares were represented in person or by proxy at the meeting.

Both items put before the shareholders for consideration at the meeting were approved. All eight members of the current Board of Directors were re-elected, including Joseph Wm. Foran, Dr. James M. Funk, Dr. Stephen A. Holditch, Mr. David M. Laney, Mr. Greg L. McMichael, Dr. Steven W. Ohnimus, Ms, Daralyn B. Peifer, and Mr. Edward R. Scott, Jr. The shareholders also approved the choice of Grant Thornton LLP as independent auditor for the company for fiscal year 2007, subject to an acceptable fee and audit arrangement.

In addition to a report from Mr. Foran on the status of the company's operations, financial condition and future plans, shareholders also heard reports from Dr. Funk on the company's prospect inventory, Mr. Scott on the results of the 2006 financial audit, and Mr. McMichael on current conditions in the oil and gas industry. In addition. Dr. Ohnimus presented a report on the company's operational challenges, Dr. Holditch discussed the company's completion strategies and plans at Elm Grove and in the far West Texas gas shales, and Mr. Downey described the status of the emerging gas shales play in far West Texas.

Joseph Wm.
