Matador Resources Company shareholders are cordially invited to attend the Annual Shareholders Meeting to be held on Thursday, May 22, 2008. The meeting will be held at the Hilton Dallas Lincoln Centre, located at 5410 LBJ Freeway, Dallas, Texas 75240. This is the hotel is located in the same complex as our offices. Coffee and a continental breakfast will be served from 8:00 a.m. to 9:00 a.m. The formal meeting will begin with the call to order at 9:00 a.m. and should conclude at approximately 11:00 a.m. Following the meeting, shareholders are also invited to attend an open house with the Company's staff in Matador's offices, located at One Lincoln Centre, 5400 LBJ Freeway, Suite 1500.

The May 22nd meeting will serve several purposes. First, it will be an excellent opportunity for shareholders to meet or renew acquaintances with the Company's board, officers and staff, as well as with each other. Second, shareholders will hear various reports on the state of the Company and the oil and gas industry, the progress the Company has made since its last shareholder meeting, and the drilling, production and financial outlook for 2008. Shareholders will also have the opportunity to vote on matters requiring their approval, as well as to ask questions and express their views on various other matters that may come before the meeting.

The formal Notice of Annual Meeting of Shareholders was sent to all shareholders on May 1, 2008. It is important that all shares be represented at this meeting. All shareholders are encouraged to sign, date and return their proxies at their earliest convenience.
